Modern Ledger Business Services, LLC dba Mod Ledger, Advisory Services - Terms and Conditions
These Terms and Conditions (“Agreement”) govern the purchase and use of advisory services offered by Modern Ledger Business Services, LLC, doing business as Mod Ledger (“Mod Ledger”, “we”, “us”, or “our”), to any individual or entity (“Client”, “you”, or “your”) who books advisory services through our online scheduling or purchasing platform. By completing a purchase or booking, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. If you are booking on behalf of a business entity, you represent and warrant that you have authority to bind that entity to this Agreement.
Service Packages and Scope of Services
Mod Ledger offers three (3) advisory service packages available for online purchase. Each package is described below, and the specific scope is limited to what is described in the applicable package at the time of purchase.

Package Descriptions
Package 1 – Compass Package ($375):
Includes one (1) 60-minute advisory meeting with targeted solutions and decision support guidance delivered during the meeting session.
Package 2 – Navigator Package ($695):
Includes one (1) 60-minute-deep strategy session, targeted solutions and decision support guidance, one (1) custom written action plan, and one (1) 30-minute implementation follow-up session.
Package 3 – Visionary Package ($1,995):
Includes three (3) strategic financial intensive sessions, targeted solutions and decision support guidance during meetings one and two, three (3) custom written action plans, strategic progress refinement, and three (3) implementation follow-up sessions.
Scope Limitations
Services are strictly limited to the items described above. Advisory services do not include: tax return preparation, bookkeeping or accounting services, legal advice, investment advice, or any services not expressly described in the applicable package. Mod Ledger does not provide legal, securities, insurance, or medical advice of any kind. Nothing in this Agreement or in any advisory session creates an ongoing advisory relationship, fiduciary relationship, or client-advisor relationship beyond the sessions purchased.
Payment Terms
All advisory service packages are priced as listed at the time of purchase. Prices are in U.S. Dollars and are subject to change without notice, except that any change will not affect packages already purchased. Payment is due in full at the time of booking. No services will be scheduled or delivered until payment has been received and confirmed. Mod Ledger accepts payment through the methods available on our online booking platform. All transactions are processed through a secure third-party payment processor, and Mod Ledger does not store payment card information. Sales tax or other applicable taxes may be added where required by law.
Scheduling and Session Expiration
Scheduling
After completing your purchase, you will receive instructions to schedule your session(s). It is your responsibility to schedule your sessions in a timely manner.
Expiration of Sessions
All purchased sessions must be scheduled and completed within the following timeframes from the date of purchase:
Package 1 (Compass Package) – single session must be completed within 60 days of purchase.
Package 2 (Navigator Package) – all sessions must be completed within 90 days of purchase.
Package 3 (Visionary Package) – all sessions must be completed within 180 days of purchase.
Sessions not scheduled or completed within these timeframes will expire with no refund or credit. Mod Ledger may, at its sole discretion, offer an extension in documented exceptional circumstances; however, no extension is guaranteed.
Cancellations and Rescheduling by Client
You may cancel or reschedule a session with at least 48 hours advance notice using our scheduling platform, without penalty. Cancellations or reschedules made with less than 48 hours advance notice will result in forfeiture of that session, and no refund or credit will be issued for the forfeited session. No-shows without prior notice will be treated as a forfeited session.
Cancellations by Mod Ledger
In the rare event Mod Ledger must cancel a scheduled session, we will provide as much advance notice as possible and will work with you to reschedule within a reasonable timeframe. Mod Ledger is not liable for any damages, losses, or expenses resulting from a cancellation or rescheduled session.
Refund Policy
All sales are final. Mod Ledger does not offer refunds, credits, or transfers once a purchase has been completed, except as follows:
- If Mod Ledger is unable to deliver the services purchased due to circumstances within our control, we will provide a pro-rated refund for any sessions not yet delivered.
- Refunds will not be issued for sessions that expired due to the Client’s failure to schedule or attend, for missed or forfeited sessions, or for dissatisfaction with the advice or guidance provided.
If you believe a refund is warranted under these terms, please contact us in writing at jen@modledger.com within 10 business days of the event giving rise to the request.
Nature of Advisory Services
General Business Guidance Only
All services provided by Mod Ledger are general business advisory and financial guidance in nature. Information shared during advisory sessions reflects the professional opinion and experience of Mod Ledger staff and is intended as informational and educational in nature only. Advisory services do not constitute and should not be relied upon as legal advice, tax advice specific to your return (unless a separate engagement for tax services is in place), investment advice, accounting opinions, or any professional service that requires licensure beyond what Mod Ledger holds.
No Guarantee of Results
Mod Ledger makes no representation, warranty, or guarantee regarding the outcomes or results that may be achieved by implementing any advice, strategy, or action plan provided. Results depend on many factors outside of Mod Ledger’s control, including but not limited to market conditions, Client implementation, third-party actions, and individual business circumstances.
Client Responsibility
You are solely responsible for the decisions you make based on guidance received during advisory sessions. You agree to consult with qualified legal, tax, financial, or other professionals before implementing any strategy or making any significant business decision.
Confidentiality
Mod Ledger will treat information you share during advisory sessions as confidential and will not disclose it to unaffiliated third parties except: (a) with your prior written consent, (b) as required by law, court order, or regulatory authority, or (c) as necessary to provide the services (for example, if Mod Ledger engages a contractor or platform provider under a confidentiality obligation). You acknowledge that advisory sessions may involve Mod Ledger staff members and that information shared may be retained internally for the purpose of providing consistent service. You agree not to share or publicly disclose any proprietary frameworks, tools, templates, or methodologies provided by Mod Ledger as part of your advisory sessions without prior written permission.
Intellectual Property
All materials provided by Mod Ledger in connection with advisory services, including but not limited to written action plans, templates, worksheets, frameworks, and other documents (“Deliverables”), are the intellectual property of Modern Ledger Business Services, LLC.
Mod Ledger grants you a limited, non-exclusive, non-transferable license to use Deliverables for your own internal business purposes. You may not reproduce, distribute, sell, sublicense, or create derivative works from any Deliverable without prior written consent from Mod Ledger.
Limitation of Liability
To the fullest extent permitted by applicable law, Mod Ledger, its owners, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, or loss of data, arising out of or in connection with the advisory services, regardless of whether such damages were foreseeable or whether Mod Ledger was advised of the possibility of such damages. In no event shall Mod Ledger’s total cumulative liability arising out of or related to this Agreement exceed the total amount paid by the Client for the specific package giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Mod Ledger’s liability shall be limited to the fullest extent permitted by applicable law.
Disclaimer of Warranties
Services are provided “as is” and “as available” without warranty of any kind, express or implied. Mod Ledger expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Mod Ledger does not warrant that advisory services will meet your specific requirements or that guidance provided will produce any particular result.
Acceptable Conduct
You agree to engage with Mod Ledger staff in a respectful and professional manner during all advisory sessions and communications. Mod Ledger reserves the right to terminate a session or cancel remaining sessions without refund if a Client engages in abusive, harassing, threatening, or otherwise unprofessional conduct toward any Mod Ledger representative.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles. In the event of any dispute arising out of or relating to this Agreement or the services provided, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation is unsuccessful, disputes shall be submitted to binding arbitration in Washington County, Wisconsin, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
Entire Agreement and Amendments
This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior discussions, representations, or agreements, whether written or oral. No modification of this Agreement shall be binding unless made in writing and signed by an authorized representative of Mod Ledger. Mod Ledger reserves the right to update or revise these Terms and Conditions at any time. The version in effect at the time of your purchase governs your engagement.
Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Waiver
Failure by Mod Ledger to enforce any provision of this Agreement shall not constitute a waiver of the right to enforce such provision in the future. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.
